I'm using VirtualBox with no issues. Works great. Using it as my iRules/iControls development environment.
What version are you using / what host?
I'm getting kernel panics when I boot under virtualbox sitting on a windows box (3.1.4 / Windows 2003 server, for what its worth)
I've got it running nicely under VMWare workstation 7
